*All business entities that file online will be charged an additional $0.95 service fee for payments made by e-check OR 2.29% of the total amount due for credit cards. **The minimum filing fee for LLCs is $300. If your LLC has more than 6 members, you must add $50 for each additional member. So, if your LLC has 8 members, then your total filing fee would be $400. The maximum fee is $3,000. |
Filing Your Tennessee Annual Report
You may file your Tennessee Annual Report online or by mail. Either way, you’ll need to visit the Tennessee Annual Report Filing page.
*Foreign Limited Liability Partnerships are not listed under “Who Can File Here.” However, if you own a foreign LLP, you CAN file through the online system. Don’t worry!
- On the state website, click the “Start Now!” button.
- You will be prompted to enter your Secretary of State Control Number. Then, select “begin.” You can find your control number by searching the Tennessee Business Database.
- Once you confirm you are filing for the correct entity, click “Continue.”
Below, is a list of what you’ll need to include, verify, and/or update on your Tennessee Annual Report:
- Business principal and/or mailing address.
- Registered agent and address in Tennessee. You may update this information on your annual report; however, you will be charged an additional $20 fee.
- Officer/director, member/manager, or partner information. Corporations and nonprofits must include the names and addresses of each officer/director. If your LLC is member-managed, you are only required to confirm the total number of members. If your LLC is manager-managed, you will need to include manager names and addresses. Partnerships are only required to enter the current number of partners.
- Signature and title of person filing the annual report.
After reviewing the information entered, you may choose between printing a paper form OR continuing with online filing.
If you choose to file online, you must pay with a credit card or e-check. In addition, you will be charged 2.29% of the total amount due for credit card payments OR $0.95 for e-checks.
If you choose to file by mail, you must include a check or money order payable to “Tennessee Secretary of State.”

Are there initial reports in Tennessee?
No. New businesses in Tennessee are not required to file initial reports.
Is the Tennessee Annual Report the same as the Tennessee Franchise Tax or Excise Tax?
No. Although your taxes and report are due at the same time, the annual report is a separate filing requirement from Tennessee’s franchise tax and excise taxes. The annual report goes to the Tennessee Secretary of State while franchise and excise taxes go to the Tennessee Department of Revenue. There’s a minimum tax of $100.
What happens if I forget to file my Tennessee Annual Report?
Although the state of Tennessee doesn’t charge late fees for failing to file a Tennessee Annual Report, your business may be administratively dissolved or revoked if you are more than two months delinquent.
How long does it take the state to process a Tennessee Annual Report?
Online filings are processed immediately. Mailed filings will take 5-10 business days.
Who can file a Tennessee Annual Report?
After starting a business in Tennessee, any authorized person may file the Tennessee Annual Report. An authorized person is someone your business permits to act on its behalf.
