Starting 2025, all Pennsylvania corporations, nonprofits, non-professional LLCs, and LPs will need to file an Annual Report with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations. It costs $7 for for-profit companies, $0 for nonprofits. In addition, Pennsylvania professional LLCs, restricted professional companies and all foreign and domestic limited liability partnerships and limited liability limited partnerships must file an Annual Registration every year, including 2024.

How to File Your Pennsylvania Annual Report
To file your Pennsylvania Annual Report or Annual Registration, complete the following steps.
- Determine your business’s filing fee and due date.
- If filing an Annual Report, complete your report online OR download a paper form.

Filing Your Pennsylvania Annual Report OR Annual Registration
The Pennsylvania Annual Report is required starting in 2025. Currently, there is no way to access the annual report form. Here’s what you’ll do when it is available in 2025.
To File Annual Report Online:
- Go to the Pennsylvania Online Business Document Filing System.
- If you don’t already have an account, you’ll need to create one by clicking “Sign up now!”
- Once you have successfully logged in, you’ll immediately begin filing your annual report.
To File Annual Report By Paper:
- On the Department of State website, go to the Business Forms page.
- Click the Annual Report link.
- The form you choose will immediately appear on your screen. Both forms can be typed or handwritten in blue or black ink.
To File Annual Registration Online:
- Go to the Pennsylvania Online Business Document Filing System.
- If you don’t already have an account, you’ll need to create one by clicking “Sign up now!”
- Log in and search for your LLP, LLLP or RPC/PLLC name under “Business Search.”
- Click on the business name and “Request Access” to the business record. An emailed PIN is required to access an existing business registration and file any amendments
- Once you have your PIN, complete the Annual Registration Form and pay by credit card
To File Annual Registration By Paper:
- Fill out the Certificate of Annual Registration form. The form can be typed or handwritten in blue or black ink.
Here’s all the information you’ll need to include, update, and/or verify on your annual report.
- Business name
- Jurisdiction of formation
- Registered office address
- Name of at least one governor (director, member, partner, etc. depending on type of association)
- Names and titles of the principal officers, if any
- Address of the principal office
- Entity number issued by the Pennsylvania Department of State
Here’s all the information you’ll need to include, update, and/or verify on your annual registration:
- Business name.
- Number of licensed professional members (for PLLCS) or general partners (for LPs).
- If you’re a PLLC, you’ll also need to declare if you engaged in any business not permitted by the purpose of your PLLC.
- Signature of person filing the registration.
If you file your Annual Report online, you’ll need to pay the filing fee using a credit card.
To file via the mail, submit a check or money order made payable to “Department of State.” Checks must be pre-printed with the name and address of the account holder.

Do I need to file my Pennsylvania Annual Report in 2024?
No. There is NO REPORT to file in 2024. The previous report (the Decennial Report) has been discontinued, and the annual report won’t be made available until 2025.
Are there initial reports in Pennsylvania?
No, new businesses are not required to file initial reports in Pennsylvania.
Are there late fees or penalties if I don’t file my Pennsylvania Annual Report?
If you don’t file your Pennsylvania Annual Report, you will be charged $15. Also your business will no longer be in good standing, and your business’s name will be available to for other companies to use.
Starting in 2027, businesses can also be administratively dissolved.
When are Pennsylvania Annual Reports Due?
It depends on what type of business entity you have.
- Corporations and nonprofits are due on June 30 every year.
- LLCs are due on September 30 every year.
- All other business entities required to file are due on December 31 every year.

Starting in 2025, the following businesses need to file an annual report in Pennsylvania.

Who can file a Pennsylvania Annual Report?
