In New Mexico, all corporations must file a New Mexico Biennial Report every other year, and all nonprofits must file a New Mexico Annual Report once a year. New Mexico LLCs have no annual or biennial filing requirements. Reports must be submitted to the New Mexico Secretary of State, Corporations and Business Services Division. Late Fees: New Mexico will assess all corporations a $200 penalty fee for failing to file a biennial report. Nonprofits will pay an additional $10 if no annual report is submitted. |
Filing Your New Mexico Biennial Report
The New Mexico Biennial OR Annual Report can only be filed online.
- On the New Mexico Secretary of State website, go to the Corporations and Business Services page.
- Enter your username and password. If you don’t already have an account, you’ll need to create one by clicking “Create User Account.”
- Once you’re successfully logged in, click on the “Corporations” tab at the top of the page. Scroll down the drop down menu and select “Biennial Report” OR “Annual Report.”
- Enter your business name in the search box and click “Search Entities.”
- Select your business from the search results and click “Continue.” This will immediately begin the filing process.
Here’s a complete list of everything you’ll need to include, verify, and/or update on your New Mexico Biennial/Annual Report:
- Business name.
- Principal and mailing address.
- Registered agent name and New Mexico address.
- Brief statement of purpose – nonprofits only.
- Director/officer names and addresses.
- Date of next shareholders meeting – corporations only.
- Business tax ID – corporations only.
- Signature and title of person filing the report. All reports must be signed by at least one director or officer.
The filing fee must be paid with a credit card.
