Massachusetts Annual Report Due Dates and Fees
To file your annual report, you’ll need to first figure out when it’s due and how much you’ll need to pay in filing fees. All online and faxed filings are considered expedited in Massachusetts, so if you go that route, you’ll owe a little more in expedite fees.

Late Fees: Massachusetts only assesses corporations – foreign and domestic – a late fee ($25) for failing to file an annual report. However, all business entities will be administratively dissolved if they are delinquent for more than 2 years. *The annual report for Massachusetts LLPs can only be submitted by mail, in person, or by fax. |

How to File Your Massachusetts Annual Report
Most Massachusetts Annual Reports can be filed online or with paper forms. To file online, log in to the Corporations Division’s online filing portal. To file a paper form, you’ll need to download and print one from the file by mail or walk-in section of the Corporation Division’s website. Once you’ve determined your due date, fee, and the filing method you’d like to use, you can follow these instructions.
To File Online:
- Enter your Customer ID number and PIN. If you don’t have either number, you can contact the Commonwealth of Massachusetts via email ([email protected]) to obtain both.
- Fill in the required information.
- Then, select “submit.”
To File with Paper Forms:
- Click the “File by Mail or Walk in” link – follow this path for fax filings also.
- Select the link for your specific business entity.
- Then, under the heading “Annual Reports” click the link for your appropriate form. The annual report form will automatically appear on your screen.
- Print the form.
- Fill in the required information.
- Mail or hand-deliver your completed form to:
