Late Fees: Connecticut does not charge late fees for failing to file an annual report. However, your business will no longer be in good standing. If you continue to be delinquent for more than a year, your business will be administratively dissolved. |
Filing Your Connecticut Annual Report
The Connecticut Annual Report must be filed online. To submit your report, go to the Connecticut Business Services Division Online Filing System.
- On the homepage, click the “File Online Business Filings & UCC Filings” button.
- After reading through the online filing notice, select the “Click To Acknowledge” button.
- In order to file an annual report, you must log into an existing account or create a new one.
- Once you are successfully logged in, select the “File Annual Reports” link.
Here’s a complete list of everything you need to include on your Connecticut Annual Report:
- Name of your business and Connecticut business ID number. To find your business ID, search the Connecticut Business Database.
- Business mailing/physical address.
- North American Industry Classification System (NAICS) code: These are self-assigned numbers used by the U.S, Canada, and New Mexico to categorize businesses by their specific industries.
- Foreign entity information: executive/principal office address.
- Officer/director OR member/manager: include at least one individual’s name and full address.
- Registered agent information: include their name and address. You may make changes or updates to this information if necessary. The new registered agent must electronically sign the annual report.
- Electronic signature, email, and title of person filing the report.

It depends. All domestic corporations and nonprofits must file an initial report 30 days following formation. Connecticut LLCs, LPs, and LLPs are not required to file initial reports.
