The state of Arizona requires all Arizona corporations, nonprofits, LLPs, and LLLPs to file an annual report each year. Arizona LLCs are not required to file an annual report. Corporations and nonprofits file their Arizona Annual Reports with the Arizona Corporation Commission (ACC). LLPs, and LLLPs submit their Arizona Annual Reports to the Arizona Secretary of State. Arizona Annual Report Due Dates and Fees
Every Arizona corporation or nonprofit must submit their annual report on the anniversary of initial formation or registration. If you’re not sure when you formed or registered your business, you can search the Arizona Corporation Commission (ACC) database to find your filing due date. Your Arizona annual report due date will be listed under the heading “Entity Details.” Arizona LLPs, and LLLPs must file between January 1 and April 30 each year.

Late Fees: Arizona nonprofits are not charged late fees for failing to file an annual report on time. Arizona corporations that fail to file an annual report will be assessed $9 each month they’re delinquent. This will continue until a payment is made in full or the corporation is administratively dissolved. Arizona LLPs, and LLLPs will be charged an additional $25 for filing late. |
Filing Your Arizona Annual Report
Arizona Annual Reports for corporations and nonprofits must be submitted using the Arizona Corporation Commission (ACC) eCorp online filing system.
- Go to the eCorp homepage.
- To log in, enter your email address and password. If you don’t have an account, you’ll need to create one by clicking “Register.”
- After you log in, select the “Online Services” tab.
- Next, click the “Submit Corporation Annual Filing” link.
- Type your business’s name in the search box. Once you locate your corporation or nonprofit, click “File Annual Report.”
You’ll need to include the following information on your Arizona Annual Report:
- The name of your business.
- Your Arizona entity number. You can find your number by searching the Arizona Corporation Commission (ACC) database.
- The type of business you own (corporation or nonprofit).
- A brief statement describing your business’s purpose.
- Authorized/issued shares: include the class and series (if applicable).
- Statutory agent: include their full name, physical address, and mailing address. If you need to make changes/updates to this information, you may do so on the annual report. However, you must include a Statutory Agent Acceptance form.
- The principal mailing address of your corporation or nonprofit.
- Shareholders who hold 20% or more stock distributed by the business: include their full names, addresses, and dates they took office.
- Electronic signature of individual filing the annual report.
Online filings must be paid with a credit card.
Arizona LLPs, and LLLPs can only file their annual reports by mail or in person. To obtain a paper form, you’ll need to visit the Arizona Secretary of State website.
- On the state website, click “Partnerships” under the “Business” tab.
- Under the heading “What to File,” select the “Form Directory” link.
- A PDF listing all requirements and forms will automatically pop up on your screen.
- All LLPs, and LLLPs (foreign and domestic) use the same annual report form. Click any of the annual report links, and the form will immediately download.
On the Limited Partnership Annual Report, you’ll need to include the information listed below:
- The name of the partnership.
- The Secretary of State Registration number: You can locate this by doing a business entity search on the Secretary of State website. Your registration number will be the 6-7 digit number listed in the far left column of your search results.
- State you initially formed your partnership in (foreign entities only).
- Date of initial formation.
- Principal/mailing address.
- Agent for service of process: Include their full name and address.
- Signatures and printed names of each current general partner.
The Arizona Annual Report for LLPs, and LLLPs must be filed in duplicate (one original and one copy) to the Secretary of State. The $3 filing fee must be paid with a check or money order made payable to “Secretary of State.” Yes, you’ll need to write a check or get a money order for $3. Unfortunately, cash and credit cards aren’t accepted.

What happens if I forget to file my Arizona Annual Report?
Arizona nonprofits are not charged late fees; however, corporations will be charged $9 for each month they’re delinquent. Also, the Arizona Corporation Commission (ACC) will administratively dissolve your corporation if a report is not filed within 60 days of the due date.
Annual reports for LLPs, and LLLPs received after April 30 will be assessed a $25 penalty fee. The Secretary of State will notify you of their intent to revoke your business if a report is not filed within 60 days of the due date.
Can I extend my Arizona Annual Report due date?
You sure can! BUT, only if you own a corporation or nonprofit. Unfortunately, LLPs, and LLLPs don’t have the option of getting an extension.
If you need more time to file your corporation or nonprofit annual report, you can request an extension by filing an Annual Report Extension Request form with the Arizona Corporation Commission (ACC). You’ll follow the same steps as filing your annual report EXCEPT you will select “File Annual Report Extension” after locating your business entity. Your new due date must be within 6 months of your original date. There is no filing fee for an extension request.
What’s the processing time for Arizona Annual Reports?
Typically, an Arizona Annual Report will be processed in 2-3 weeks (standard) OR 1-3 business days (expedited). Add an additional $35 (corporations/nonprofits) OR $25 (LLPs) for faster processing.
Can any authorized person file my Arizona Annual Report?
