You have to be in good standing with the Rhode Island Secretary of State (SOS) to file an amendment. You can file Rhode Island corporate amendments by submitting a paper form or online.
Form:
Submit Rhode Island Articles of Amendment to the Articles of Incorporation form to the Rhode Island SOS. The form is available on the SOS website. You can file amendments in person or by mail. You have to be in good standing to file articles of amendment so make sure you have filed your annual reports and maintained a Rhode Island registered agent. Original signatures are not required.
Online:
You can also file amendments online. Visit the SOS Business Services website. You can choose to “File Corporate Forms” and then “File Online by Credit Card.” You will have to enter your SOS Customer Identification Number and PIN to log on. If you do not know your corporations login information, you can email the Rhode Island SOS at [email protected] to find out. Then you can choose to amend your articles of incorporation. If you file online, you will need to enter your credit card information.
Can you re-state the initial articles instead of filing an amendment?
You can file Restated Articles of Incorporation but you can’t include a new amendment.
Restated articles of incorporation cost $70 to file.
Are there any specifics you can or can’t include with a Rhode Island Corporation amendment?
You have to file an amendment if you change your corporations name, increase or decrease shares, or change internal provisions.

Can you change the Rhode Island Corporation officers or directors on an amendment?
You can file articles of amendment to change your officers and directors but you don’t have to. You have to list your officers and directors in the annual report and you are not required to report changes between annual reports. If you have filed an annual report, you can file an amended annual report (free) or you can update that information on your next annual report.
Can you change the Rhode Island registered agent on the amendment?
No. The only way to change your registered agent in Rhode Island is to file the change of agent form or to make the change online.
Can you change the principal office address and/or the mailing address on an Corporation amendment?
Yes, you can change your principal address by filing an amendment. But this isn’t the best way to change such information. You can wait and make the change on your annual report or you can file an Amended Annual Report (no charge).
