To resign as a registered agent in Massachusetts, you must submit a Statement of Resignation of Resident Agent (LLCs) or a Statement of Resignation of Registered Agent (corporations) to the Massachusetts Secretary of the Commonwealth, Corporations Division by mail, fax, online or in-person. The resignation may also include a statement that the registered office is discontinued. Then, deliver a copy of the resignation to the company from which you are resigning as agent.
There is no fee if filing online; otherwise, the paper filing fee is $25. Documents submitted to the Secretary of the Commonwealth online will be processed immediately, faxed filings will be processed in 1-2 business days and mailed-in filings take 2-4 business days.
