Thank you to a business owner in New Jersey for that great question! Updating your New Jersey business address is a relatively straightforward process where you file either an annual report or an amendment, then notify tax authorities of the change.

1. Update your business address on an annual report

If your change of address is happening around the date of your company’s registration in the Garden State, you’re in luck! You can update your business address for free on your New Jersey Annual Report, which is due at the end of the month in which your company was originally registered.

Annual reports are filed online through the New Jersey Department of the Treasury’s Annual Reports and Change Services portal. You’ll need to provide your 10-digit New Jersey Business Entity Identification Number, business type, and date of registration.

Is the annual report free as well?

Unfortunately, the annual report is not free, as for-profit businesses have to pay a $75 fee, and nonprofits $30—but you’ll be paying those annual report fees anyway, so you might as well take advantage of freely updating your address through your annual report.

2. Update your business address with an amendment

Another way to change your business address is by filing a Certificate of Amendment with the Division of Revenue. Amendments are used for a material change from the original formation document, such as if your business is moving from its original address when it was first registered.

To change your address for this purpose, you will need to file a L-102 certificate online through the New Jersey Department of the Treasury’s Business Charter Amendment Service portal. As with an annual report, you must enter your 10-digit New Jersey Business Entity Identification Number, business type, and date of registration.

How much does it cost to file an amendment?

Filing an amendment costs $100. You will also have to pay a $3.50 fee to pay with a credit card, or $1 to do so with an E-Check.

What do I do if I made a mistake with the address in my original filing?

If there was an error on your original filing, you should file a Certificate of Correction (C-152 for corporations, L-108 for LLCs) instead of an amendment when changing your business address. This can be done by using the amendment process at the Business Charter Amendment Service portal. You can also submit a paper form by mail: C-152 (corporations) or L-108 (LLCs) For-profit companies must submit duplicate forms, and nonprofits in triplicate.

Certificates of Correction have different costs: $10 for for-profit corporations, $50 for nonprofits, and $100 for LLCs. Credit card and E-Check fees for filing online range from 75 cents to $2.50.

3. Notify tax authorities of your change of address

Once your address has been updated, you should notify the IRS. You can file Form 8822-B, Change of Address or Responsible Party, or simply change the address on your business’s tax return.

Changing a physical address requires you to enter your taxpayer ID or corporation ID (or both), along with your New Jersey employer or sales tax PIN that you received at the formation of your business.
