Late Fees: The Maine Secretary of State will charge most business entities a $50 late fee for failing to file an annual report. Nonprofits are assessed an additional $25. In addition, your business may be administratively dissolved or revoked of its right to conduct business within the state. |
Filing Your Maine Annual Report
The Maine Annual Report can be submitted online OR by mail. Either way, you’ll need to visit the Maine Secretary of State website.
- On the state website, go to the Annual Reports page.
- Click the “Annual Reports Online” link to file online OR “Paper Annual Reports” to file by mail.

A prompt will appear on your screen asking for your Maine Business Charter Number. You can easily look up your number by searching the Maine Business Database.

After clicking “search,” you’ll immediately begin the online filing process OR a blank paper report will appear on your screen.
Here’s all the information you’ll need to include, verify, and/or update on your Maine Annual Report:

Business name and principal address. You can’t change or update this information on your Maine Annual Report. If you need to make changes to your business’s name or address, you must file an amendment. There is a $50 filing fee.

Brief statement of purpose.

Officer/director/shareholder, member/manager, or partner information. Include full names and physical addresses.

Signature and typed or printed name of person filing the annual report.
Online filings must be paid using a credit card. Mailed submissions must include a check or money order made payable to “Secretary of State.” All checks must also include your charter number.
