How To File A Wisconsin LLC Amendment
Step By Step Guide To Wisconsin LLC Amendments
How to file a Wisconsin LLC Amendment:
To make amendments to your Wisconsin LLC’s articles of organization, provide Wisconsin Department of Financial Institutions Form 504, Articles of Amendment – Limited Liability Company. The form is optional; you may draft your own Articles of Amendment. Articles of amendment are available on the DFI website or in your online account immediately, when you sign up for Wisconsin registered agent service with Northwest.
Make sure you include the original amendment and one exact copy. The articles can be filed by mail, by commercial delivery, or in person.Include a check for the filing fee payable to the “Department of Financial Institutions.”
Can you re-state the initial articles instead of filing an amendment?
Restated Articles of Organization may be filed with DFI. There is a mention of “restated” articles in the Wisconsin LLC statute, but it was inadvertent. Since it is mentioned, Wisconsin DFI is required to file restated articles when submitted.
So, if you do file restated Articles with DFI, those articles could include the amendment(s). It would not be necessary to file a separate amendment.
Are there any specifics you can or can’t include with a Wisconsin LLC amendment?
Amendments may update provisions that are currently included in the articles of organization. You can use the LLC articles of amendment to change your LLC name.
How much does a Wisconsin Limited Liability Company amendment cost?
There is a $40 filing fee to amend your Wisconsin articles of organization.
There is an additional $25 fee for expedited processing of Articles of Amendment.
How long does it take the state to process a Wisconsin Limited Liability Company amendment?
Normal DFI processing takes approximately 5 business days.
Expedited Processing in Wisconsin is completed by the close of the next business day. To expedite document processing make sure you mark documents “for expedited processing” and include the fee.
How will the LLC amendment be returned?
The way documents are returned will depend on how you file and the information you provide to DFI.
If you submit a document on the DFI paper form, the filed-stamped copy is mailed to the person/firm listed in the return box on the back page of the form.
If you draft your document and submit it with a cover letter, DFI will mail the filed-stamped copy to the author of the letter.
