How to Form a PLLC in Washington State
Forming a PLLC in Washington State is similar to forming an LLC, but it requires state licensing. Here’s what you need to know:
What is a Washington PLLC?
A PLLC is an LLC formed by a person or group of people who provide professional services. (PLLC stands for “professional limited liability company.”) Unlike the members of a regular Washington LLC, the members of a Washington PLLC are required to maintain licenses with the state according to their profession.

Do I need a Washington PLLC?
You’re required to form a PLLC instead of an LLC in the state of Washington if your line of work requires a license from the state. According to RCW 18.100.030, such professions include, but are not limited to:
- Certified public accountants
- Chiropractors
- Dentists
- Osteopaths
- Physicians
- Podiatric physicians and surgeons
- Chiropodists
- Architects
- Veterinarians
- Attorneys-at-law

How do I form a Washington PLLC?
To form a Washington PLLC, you’ll have to submit a Certificate of Formation of a Professional Limited Liability Company to the Washington Secretary of State, Corporations and Charities Division. You can submit your certificate of formation online using Washington’s Online Filing System. Or you may submit your paperwork via regular mail:

How much does it cost to form a Washington PLLC?
The fee for submitting a Certificate of Formation for a Washington PLLC is $200 for online filings, or $180 for submitting a paper form. Expediting processing costs an additional $50.
Are there naming restrictions for a PLLC?
Yes. According to RCW 23.95.305, the name of a PLLC must include any one of the following:
- Professional Limited Liability Company
- Professional Limited Liability Co.
- P.L.L.C.
- PLLC
For professional companies that provide dental services, a business name can only include the full names or surnames of all members along with the word “chartered” or some variation of “professional services” or “PLLC.”
