How to Change Your LLC Address in Texas
Q: How do I change my business address?
Thank you to a client from Texas for that great question! Many of our clients ask us how to change the business address on their Texas Certificate of Formation, so we wanted to answer the question on our blog. First of all, it’s important to know which address you need to change. The Certificate of Formation requires two addresses: the registered office address and the business mailing address. If you only want to change your mailing address, you can do this online for free. However, if you need to change your registered office address, you will need to file a Statement of Change form with the Texas Secretary of State’s office. We’ll explain how to make both these changes.
How to Change Your Texas Registered Office Address
If you need to change your Texas registered agent or registered office, you can make this change by filing a Statement of Change of Registered Agent/Registered Office with the Secretary of State. This form costs $15 to file and can be filed by mail, fax, online, or in person.
Online: SOSDirect Portal
By mail:
Secretary of State
P.O. Box 13697
Austin, TX 78711-3697
In person:
James Earl Rudder Office Building
1019 Brazos
Austin, TX 78701
Fax: (512) 463-5709
What is a registered office address?
Your registered office is your registered agent’s address. This is the address where your Texas registered agent will receive legal mail on behalf of your business. Your registered office must be a physical street address (not a P.O. box) in Texas, and your registered agent must be present at this address during business hours to accept service of process in person, which they must then forward quickly to you.
If you are the registered agent for your business, your registered office address will be your address. However, it’s important to realize that the registered office address goes on the public record, and anyone will be able to find this address online. You can hire a registered agent service if you don’t want to share your personal address on the public record.
Can I change my registered office address on a Certificate of Amendment instead?
Yes, however, it’s much more expensive. Filing a Texas LLC Amendment costs $150—ten times the cost of the Statement of Change form. The only reason to file a Certificate of Amendment instead of a Statement of Change is if you are making multiple changes to your Certificate of Formation at the same time, such as if you are changing your LLC name as well as your registered office. However, if you are only changing your registered agent and/or registered office, it makes more sense to file the Statement of Change Form instead.
How to Change Your Texas Business Mailing Address
Changing the mailing address for your Texas LLC is pretty easy. You can simply update your mailing address online via the Texas Comptroller website. You will need to provide either:
- your Texas Taxpayer Number (issued by the Comptroller’s office)
- or your Texas Secretary of State Filing Number (issued by the Texas SOS when you form your LLC)
Changing your mailing address is free, and you can use a P.O. box if you want.
Does my business mailing address go on the public record?
Yes. The mailing address you include on the Texas Certificate of Formation does go on the public record, which means that anyone will be able to look it up on the Texas Comptroller website.
Can I change my mailing address on my Texas Franchise Tax Report?
Yes, another option is to update your mailing address when you file your annual Franchise Tax Report.
