How do you dissolve an LLC in Pennsylvania?
To dissolve your domestic LLC in Pennsylvania, you must provide the completed Certificate of Dissolution, Domestic Limited Liability Company form to the Department of State by mail, in person, or online. Tax clearance certificates from the Department of Revenue and from the Bureau of Employment Security of the Department of Labor and Industry must accompany the certificate of dissolution, along with the filing fee.
A dissolved LLC may not carry on any business except as appropriate to wind up its business affairs.

Do you need a Department of Revenue clearance before the Pennsylvania Secretary of State will accept your dissolution?
Yes. When you dissolve your LLC or corporation, you must include a Tax Clearance Certificate from the Department of Revenue and from the Bureau of Employment Security of the Department of Labor & Industry.
In order to obtain the tax clearance certificate, an Application for Tax Clearance Certificate, Form REV-181 must be completed.
How long does it take the State of Pennsylvania to process the filing?
Department of Revenue needs four weeks to deliver a tax clearance certificate after receiving the application. Then normal Department of State processing will take approximately a week.
How long before someone can take your business name?
After the cancellation has been processed the business name may be taken immediately.
What is the penalty if you do not dissolve properly and just don’t file your annual reports?
If your certificate of dissolution of your LLC is rejected for improper filing, there is no penalty but you would have to correct your filing promptly or you may have to pay the normal filing fee again. Failure to file a decennial report results in the removal of your business name from the state name register and the name may be assumed by another entity.
