Can I move my LLC to Oregon?
Yes. There are a few ways to move an LLC to Oregon:
- Dissolution/formation. Dissolve your business in the state where it was formed and form a new LLC in Oregon. Dissolving your business requires you to start from scratch by creating all new formation documents for your LLC.
- Foreign registration. You can keep your LLC registered in its state of formation and simply register a foreign LLC in Oregon. Foreign registration allows you to do business in both places, but you will have to keep up with state reports and fees in both states.
- Merge with an Oregon LLC. Much like dissolution/formation, this option requires you to form a new Oregon LLC. However, instead of dissolving your original LLC, you’ll merge the LLC with the new Oregon entity. After the merger, your original LLC will effectively cease to exist, and all resources, assets, and debts will be transferred to the Oregon LLC. However, you will first need to find out if your LLC’s state of formation allows mergers.

Does Oregon allow LLC domestication?
No. Domestication—the process of converting a foreign business entity into a domestic entity—is not currently supported by Oregon law.
How do I merge my LLC with an Oregon LLC?
To merge your out-of-state LLC with an Oregon LLC, you will need to file Articles of Merger with the Oregon Secretary of State and pay a $275 filing fee. First, you will need to create a written plan of merger and have it approved by all members of your LLC. However, mergers are complicated and not the best choice for every business. Do I need a new EIN if my LLC changes states?
It depends. If you simply register as a foreign LLC to do business in a new state, you do not need a new EIN. However, if you form a new LLC, you will need to apply for a new EIN.
