How to Change an Oregon LLC Address

Q: I need my LLC address updated everywhere… that includes the member address, principal place of business, and mailing address. How can I do that?

Thank you to a customer from Oregon for that great question! Our Northwest agents handle those sorts of corrections all the time for our clients—but for those pursuing DIY solutions, Oregon makes changing your LLC address very easy in comparison to many other states. To update your address on your state filing, all you really need to do is file a free form. Here’s what to know:

1. File an Oregon LLC Information Change Form

The recommended method to change your Oregon LLC’s address with the Oregon Secretary of State – Corporation Division is to file a Corporation/Limited Liability Company – Information Change form. Oregon does not charge a fee for this filing. You can submit the Information Change form online via the Oregon Business Registry, or by filling out a paper form downloaded from the Corporation Division and mailing it to:

What information do I have to provide on the form?

To change your LLC address with an Information Change form, you must supply the following information:

  • Your LLC’s Oregon Registry Number
  • The entity type (domestic or foreign)
  • Name of the LLC
  • Addresses to change (options include: principal place of business, registered agent’s address, and mailing address for legal notice)
  • The signature, printed name and title of an authorized signer
  • Contact name of a representative that can resolve questions with the filing
  • Contact’s phone number

In addition, the Information Change form can be used to update other LLC information:

  • LLC’s business activity
  • Registered Agent name
  • Name and address of individual(s) with direct knowledge (director, controlling member, or authorized representative) of the company’s operations and business activities
  • Names and addresses of LLC members and managers

The Information Change form is also used for updating corresponding information for Oregon corporations.

How long does it take to process?

It takes 5-7 business days from the date the Information Change form is received for the changes to be implemented in the Secretary of State’s records.

Can I update my LLC’s address when filing my annual report?

It is possible to update your business address (along with a lot of other company information) with your Oregon Annual Report. However, while every corporation, LLC, nonprofit, LP and LLP in Oregon must file the report by the anniversary of the company’s formation, there’s no real benefit from waiting to update your business address that way—unless the due date lines up closely with the date you need your address changed.

Is it free to file an annual report as well?

No, an Oregon Annual Report costs $100 to file. While that fee is mandatory for any business that must file an annual report, the ability to file an Information Change form for free at any time makes it a much more useful option than an annual report.

Can I update my LLC address with an amendment?

It’s possible to update your office address by filing Oregon Articles of Amendment, but it’ll cost you $100. Filing an amendment to change your address is only recommended if you need to amend other aspects of your state filing, as well.

2. Notify tax agencies of the LLC’s address change

Once your address has been updated, you should notify the IRS. You can file Form 8822-B, Change of Address or Responsible Party, or simply change the address on your business’s tax return.

Do I need to contact the Oregon Department of Revenue?

The Department of Revenue provides a printable Oregon Combined Payroll Tax Business Contact Change Form to submit when changing a business address. You can provide the Department of Revenue with an updated mailing address, new physical locations, and updated payroll and accounting information with this form. It does require you to provide your company’s Oregon Business Identification and Federal Employer Identification Numbers. Like the Information Change form for the Secretary of State, there is no fee.
