How to file a North Dakota LLC Amendment:
To make amendments to your domestic North Dakota limited liability company, provide the completed form, Limited Liability Company Articles of Amendment to the Secretary of State (SOS).
To amend your foreign LLCs Certificate of Authority, mail or fax the form, Amended Certificate of Authority Foreign Limited Liability Company Application to the North Dakota SOS. This form is required to be filed if you are changing the name of your foreign LLC or to correct a statement on the Certificate of Authority that is no longer true. If you change the name of your LLC, you must file a current original Certificate of Fact from the government officer where LLC’s Articles of Organization are filed.
The amendment form you need is available on the SOS website (see link below). The forms are also available in your online account when you sign up for registered agent service with Northwest. The LLC amendment forms include a Credit Card Payment Authorization section that must be completed if you are paying by credit card. North Dakota SOS accepts VISA, Master Card, or Discover and you must include credit card payment if you are filing by fax. If you are filing by mail or walk in, you may also pay your fees by check.
Can you re-state the initial articles instead of filing an amendment?
No. You would have to file the amendment, then restate the articles if you want to include a new amendment.

An amendment is not necessary to change the names and addresses of the managers or governors of a limited liability company. Such changes may be recorded on the next Annual Report filed by the LLC.
