How to Move Your LLC to Nevada

 

To transfer your LLC to Nevada, you’ll want to go through a process known as domestication. Here’s what you need to know:

What is LLC domestication?

Domestication is the state-assisted process of moving a business, like an LLC, from one state to another. Not all states have domestication laws. In cases where domestication is not an option, LLCs often have to choose between registering as a foreign entity in their new state, or dissolving operations in their former state and forming an LLC from scratch in their new state. Either way, it’s usually more costly and time-consuming to move a business to a new state without domestication.

Why does my LLC need to file for domestication?

Well, you don’t have to. You can dissolve your LLC in the state it was formed, then begin a new LLC in Nevada. Or, you stay registered in your current state, then Register a Foreign LLC in Nevada. However, while your business can operate out of more than one state, you’ll have to pay annual fees in both. If your company only operates out of one location, domestication may be your best option.

How do I domesticate my LLC in Nevada?

To make Nevada your LLC’s new home state (aka it’s state of formation or domicile), you’ll have to file Nevada Articles of Domestication with the NV Secretary of State. Along with articles of domestication, you should submit:

  • Articles of organization for your Nevada LLC
  • A certified copy of your articles of organization (or equivalent document) from your previous state
  • A certificate of good standing (or equivalent) from your previous state

The filing fee for NV’s articles of domestication is $350. You may also pay for 24-hour expedite service ($125), 2-hour expedite service ($500), or 1-hour expedite service ($1,000).
