How to file a Maine LLC Amendment:
To amend your Maine LLC’s Certificate of Formation, you would file form MLLC-9, Certificate of Amendment with the Maine Secretary of State, Bureau of Corporations, Elections, and Commissions (SOS). The forms are available on the Maine SOS website and in your online account when you sign up for registered agent service with Northwest. The Maine SOS forms are fillable so you can just enter your information, print, and submit them to the SOS. Complete the form, including the Filer Contact Cover Letter and attach an exhibit if you need to make changes to the certificate of formation that are not included on the amendment form. Then you can mail or deliver the originally signed documents to the Maine SOS.
You can request expedited processing by checking the box on the cover letter and including the additional fee. To expedite mailed documents, write “Expedited Service” in the lower right hand corner of your envelope. You can also request expedited processing at the SOS Corporations Division filing counter from 9-4 on business days. You can pay the expedite fee in cash or include a separate check, debit or credit card for each request. Checks should be payable to the Maine Secretary of State. You may pay by credit card if you include a Credit Card Payment Voucher with your form.
Can you re-state the initial articles instead of filing an amendment?
Yes. You would just file form MLLC-6A, Restated Certificate of Formation. You may include a new amendment in the restated certificate.

You can change the Maine LLC name on the amendment form.

Can you change the Maine LLC members or managers on an amendment?
No. You can’t amend articles to change the members and managers of a Maine LLC. You would change that information on the LLCs annual report. If the information changes after you have filed the annual report, you can file an amended annual report. You will have to state the member/manager information from the initial report and indicate how it changed.
Can you change the Maine registered agent on the amendment?
Yes. There is a section on the amendment form where you can change your Maine commercial or noncommercial registered agent.
The Maine SOS also has forms for changing your registered agent, but you cannot change your Maine registered agent on the Maine annual report.
Can you change the principal office address and/or the mailing address on an LLC amendment?
No. The Maine SOS does not keep a record of the principal addresses of domestic entities. The Maine SOS does not require domestic LLCs to list an address in the certificate of formation or the annual report.
Even though you don’t have to list the principal office address of a domestic LLC, you do have to list the name and physical address of at least one member or manager on the Maine LLC annual report.
