How do you dissolve an Kentucky Limited Liability Company?
To dissolve your Kentucky LLC, you file the Articles of Dissolution and one exact copy with the Kentucky Secretary of State (SOS) by mail or in person. If the forms provided by the SOS do not meet your needs, you can’t just attach additional documentation, but you can create your own custom forms. You can pay SOS filing fees by cash, check, and debit or credit. Make any checks for fees payable to “Kentucky State Treasurer.”

There is a $40 filing fee to file Kentucky Articles of Dissolution.
Do you need a Department of Revenue clearance before the Kentucky Secretary of State will accept your dissolution?
No, you don’t need a Department of Revenue clearance to dissolve your LLC or corporation. However, it is always a good idea for a dissolving company to contact various state agencies including the Kentucky Department of Revenue and any relevant licensing agencies, to make sure your LLC doesn’t have any other obligations.
How long does it take the state to process the filing?
SOS processes documents on the day they are received, but it can take up to three business days for them to complete the filing.
How long before someone can take your business name?
Your business name can be taken by another entity immediately once your Kentucky LLC is dissolved or immediately upon administrative dissolution by the Secretary of State.
What is the penalty if you do not dissolve properly and just don’t file your annual reports/statements?
If you haven’t filed your annual report on the due date, Kentucky SOS will place your LLC in bad standing and send a 60 day notice. If SOS does not receive your report within the 60 days of the notice, SOS will administratively dissolve your Kentucky LLC.
What are the late fees and penalties to re-register if your registration is forfeited?
To reinstate, an administratively dissolved LLC needs to file the Kentucky SOS reinstatement application. There are various fees associated with the application:
