How to Change a Kansas LLC Address

Q: I need to update my LLC’s address. Can you assist me?

Thank you to a customer from Kansas for that great question! Kansas provides an easy (and free!) method for changing your LLC’s mailing address. If you need to change your registered office—the physical location where service of process can be delivered to your business—that requires an additional step. Read on for more.

1. Change your Kansas LLC mailing address

You can quickly update your Kansas LLC‘s address by filing a Business Entity Mailing Address Update online through the Secretary of State’s eForms portal. After forming an account on the site, you can make changes to your LLC’s address as often as you like. Even better, Kansas offers this service completely free of charge!

What if my mailing address is also the address of my registered agent?

Because your Kansas LLC’s registered office is the location where your company receives service of process, you will also need to update that address with the Kansas Secretary of State. In this case, you will need to file Form ROA, Change of Registered Office/Resident Agent. You will need to provide the following information:

  • Your Kansas business entity ID or file number
  • The name of your LLC
  • State or foreign country where your LLC was first organized (if not Kansas)
  • Name of new resident agent and/or new registered office in Kansas
  • Authorized person’s signature and name

This form can be delivered to the Secretary of State’s office or filed online through the Kansas Business Center. It carries a $35 fee for for LLCs and other for-profit entities.

What if I also need to change the name of my registered agent?

If your Kansas registered agent (what Kansas calls a resident agent) changes their name, that person needs to file Form RGO, Change of Resident Agent Name and/or Registered Office Address by Resident Agent. This form must be delivered to the Secretary of State’s office, not filed online, and also carries a $35 fee.

Do I have to file LLC Articles of Amendment?

Probably not. If you’re only changing your LLC’s mailing address, you should use the state’s Business Entity Mailing Address Update form. However, if you need to change other aspects of your articles of organization, you’ll need to file a Business Entity Certificate of Amendment with the Secretary of State. The filing fee is $35.

What if there’s an error in the address listed in the Articles of Organization?

If there was an error on your original Articles of Organization, you should file a Certificate of Correction instead of an amendment. This certificate also requires a $35 fee.

Can I submit change-of-address forms by mail?

While you can only file a Business Entity Mailing Address Update online, you are able to submit the forms ROA (Change of Registered Office/Resident Agent), RGO (Change of Resident Agent Name and/or Registered Office Address by Resident Agent), BEA (Business Entity Certificate of Amendment) and CC (Certificate of Correction) by mail or by fax. Faxed forms require an additional $20 fee.

2. Notify tax authorities of the change of address

Once your address has been updated, you should let the IRS know. You can file Form 8822-B, Change of Address or Responsible Party, or simply change the address on your LLC’s tax return.

Do I need to contact Kansas state tax authorities?

The Kansas Department of Revenue also allows an LLC to change its address on the state income tax return. If you want to notify the Department of Revenue about the change ahead of tax time—for example, if you need your tax documents mailed to the new address—you can also file a Name or Address Change Form.
