Amending Illinois LLC Articles of Organization

What can I change with Illinois LLC Articles of Amendment?
An Illinois LLC files Articles of Amendment to update the LLC’s name, principal address, or duration. In addition, you can change your Illinois registered agent, add or remove a manager or member with management authority, or establish authority to issue series (check out our guide to series LLCs for more information about that kind of LLC structure). If you use the amendment to begin issuing series, you’ll need to pay an additional $300—making your total filing fee $350.
Yes, you can submit Restated Articles of Organization (Form LLC 5.30) instead of filing an amendment. Restating your articles means compiling your original Articles of Organization, any subsequent amendments, and any new amendments you want to add into a single unified document. However, the filing fee is more expensive—$150, and if you want expedited processing, that costs an extra $200, too!
No, if an error made it into your LLC’s Articles of Organization, you shouldn’t file Articles of Amendment. You’ll want to file a Statement of Correction (Form LLC-5.47) instead. This form will allow you to fix any errors or typos that need to be corrected on your Articles of Organization. The fee for a Statement of Correction is $25.

Illinois LLC Articles of Amendment Form Information
Along with the content you’re changing in your Articles of Organization, you’ll need to provide some information about your LLC when filing Articles of Amendment in Illinois. When using a standard Articles of Amendment form, you’ll need to include:
Business name: The current name of your Illinois LLC.
Date amendments will become effective: Include the day, month, and year the amendments will take effect. This can be when the amendment is filed or a later date, as long as it’s within 30 days of submission.
Amendment: Indicate the specific amendments you wish to make from the list provided on the form. Space is provided for you to write your new registered agent’s information, principal address, entity name, or other updates.
Signature: Sign and print the name and title of the person filing the amendment. This must be a manager, member with management authority, or person authorized to act on behalf of your business.
File Illinois LLC Articles of Amendment
Illinois Articles of Amendment are filed with the Illinois Secretary of State, Department of Business Services, Limited Liability Division. You can submit your Articles of Amendment by mail or in person. If you’re only changing your entity’s name, you can file your amendment online—unfortunately, any other types of amendments require a paper filing.

To file online, go to the Illinois LLC Amendment page and click “file” at the bottom of the page. Enter your Illinois filing number in the search box. If you don’t know your number, you can easily find it by searching the Illinois Business Database. Your LLC’s current information will appear on the screen. Confirm the information is correct and select “continue.” Then complete the form and pay the $50 filing fee.
The filing fee for Articles of Amendment is $50 for standard processing. If you want it done faster, you can pay an additional $100 for expedited processing. The filing fee can be paid with a check payable to “Secretary of State” if submitting a paper form, or by credit or debit card if filing online.
