Can I transfer my LLC to Hawaii?
Yes. If you want to move your LLC to Hawaii, you have a few options:
- Dissolution/formation. If you don’t mind starting from scratch, you can Dissolve Your Business in its state of formation and form an LLC in Hawaii. You will need to create all new formation documents for your LLC.
- Foreign registration. You can keep your business registered in its current state or jurisdiction and Register as a Foreign LLC in Hawaii. With this option, you’ll be able to do business in both places. However, you will also need to file reports and pay fees and taxes for both states.
- Merge with an existing Hawaii LLC. This option is more complicated but may be the most cost-effective for some businesses. Do I need a new EIN if my LLC changes states?
Maybe. If you dissolve your business and form a brand new LLC, you will need to apply for a new EIN. However, if you simply foreign register your LLC in a new state, you won’t need a new EIN.
