Q: Can you tell me about how I can change my Arizona LLC’s address?

Thank you to one of our customers for that great question! Arizona provides multiple methods to update an LLC’s primary addresses. Whether you’re filing a statement of change or a full amendment, we’ll show you how it’s done.

1. Update LLC address with a Statement of Change

The easiest and least expensive method to update your Arizona LLC’s address is by filing an LLC Statement of Change of Principal Address or Statutory Agent. This form allows an LLC to change its statutory agent, statutory agent’s address, and the LLC’s principal address.

How do I submit the LLC Statement of Change?

You can file a statement of change with the Arizona Corporation Commission online, by mail or in person.

Online: eCorp

By Mail or In Person:
Arizona Corporation Commission
Corporations Division – Examination Section
1300 W. Washington St.
Phoenix, Arizona 85007

Note that when filing online you should select the link for Online Services, then the option for Change Address or Statutory Agent. Just follow the series of prompts and instructions, then you’ll be all set with your LLC address change.

What information do I need to include in the Statement of Change form?

You will need to provide the following information in order to change your LLC’s principal address:

  • Section 1: Entity name – the LLC’s exact name on record.
  • Section 4: List the new mailing address for the LLC. You must also note if your mailing address is either the street or mailing address of your your statutory agent.

The form also requires a signature from someone authorized to do so on the LLC’s behalf, who must also indicate if they are an individual or a person signing on behalf of a company. Finally, you’ll have to attach a cover sheet to the completed form, along with the $5 filing fee.

How long does it take to process a Statement of Change?

Normal processing of address changes can take 15 business days or more. The Corporations Division also provides faster processing of filings with an extra fee: Expedited (1-3 business days), Next Day, Same Day, and Two-Hour service.

What are the fees when filing an LLC Statement of Change?

The basic fee for a filing an LLC Statement of Change is $5. Rapid processing carries additional fees, with expedited processing adding $35, next day processing an additional $100, same day processing an additional $200, and two-hour processing an additional $400.

2. Update LLC address with Articles of Amendment

If you need to make other changes to your business information along with changing your LLC’s primary address, you might have to file Arizona LLC Articles of Amendment. With a fee of $25, amendments cost more than filing a Statement of Change, and tend to take a bit longer to process. If you’re only changing your company’s address, it’s probably best to just file a statement of change.

Are there publication requirements for LLC address changes?

No. Arizona is one of the few states that still has publishing requirements for LLCs, but the state does NOT require publication for a simple change of primary address. If you are filing Articles of Amendment that make other changes than just the primary address or statutory agent, you may have to follow Arizona’s publication rules.
