Why do I need LLC manager resolutions?
When members of an LLC are not involved in the day-to-day operations of the business, they give full power to managers to make business decisions. Managers don’t need resolutions for their everyday decisions. LLCs don’t have the same strict formal requirements as corporations, so resolutions are more of a good business practice than they are a legal requirement.
There are some situations, however, where managers might want to adopt resolutions. For instance, when there are multiple managers, it may be beneficial to document the approval of major business decisions. If there’s fallout or disagreement later on, you’ll have a record noting the details of exactly what was approved and who signed off on it—so managers can’t play the blame game.
What should LLC manager resolutions include?
