How to File a Georgia LLC Amendment

Amending Georgia LLC Articles of Organization
As your Georgia LLC grows and changes, you may eventually need to update your business information. This can be accomplished by filing an amendment with the Georgia Secretary of State, Corporations Division.
You can change your LLC’s name with an Articles of Amendment (Form CD 115). For a base fee of $20, you can change your company name on its Articles of Organization.
In addition to changing the name of your Georgia LLC, amendments may also be used to change registered agents, business addresses, or LLC member information. That said, name changes are the only amendments with a standardized form, so you’ll have to create your own document to make other amendments to your Articles of Organization.
Alternatively, you can change your LLC’s address or registered agent by updating that information on your Georgia LLC’s annual registration or an amended annual registration form. While all LLCs must file their annual registration between January 1st and April 1st, you can resubmit annual registration or file an amended annual registration form at any point during the year.
Filing annual registration costs $50 to file online or $60 with a paper form. If you’ve already filed your registration for the year, amended annual registration forms can be filed for $20 online or $30 with a paper form — the same fee as filing a name change amendment to your Articles of Organization.
You can restate the initial articles instead of filing an amendment, but since no form is offered by the state, you’ll have to create your own restated articles document. This document should include your LLC’s name, date of formation, and any articles to be restated (LLC name and effective date). Filing to restate Georgia articles costs the same as filing a Georgia amendment—$20 to file online or $30 to file by mail or in-person.
To file restated articles online, upload a PDF of your restated Articles of Organization with your Georgia Corporations Division Online Services account. Select the “Submit Paper Filing Online” tab, then select “Articles of Restatement/Restated Articles” from the drop down menu to access the filing process.

Georgia LLC Articles of Amendment Form Information
To file Georgia Articles of Amendment, you must provide the following information about your LLC:
- Business name: Provide the exact name of your Georgia LLC
- Control number: Include the unique number assigned to your LLC by the Secretary of State.
- Date Articles of Organization were filed: The date, month, and year your LLC’s Articles of Organization were first filed.
Amendment: Write your LLC’s new name. You’ll also need to indicate when these changes take effect. - Signature: Sign and print the name of the individual filing the amendment. This individual must be an organizer, member/manager, attorney-in-fact, or court-appointed fiduciary.
- Fees: Include a payment for $20 (for online filings) OR $30 (for paper filings).

If you don’t know your control number or the date when you initially filed your Articles of Organization, you can find that information by searching the Georgia Business Database.

To file online, visit the Georgia Corporations Division Online Services page. If you don’t already have an account, you can create one by clicking “Create a User Account.” Once you’re logged in, click the “Business Amendment” tab. Enter your LLC’s name in the search box, select it from the list of search results and click “continue” to start the amendment process.
Costs of filing name change amendments vary depending on how they were filed. The fee for filing online is $20. If you file in person or by mail, you’ll have to pay the base $20, plus another $10 for processing a paper form.
Standard Articles of Amendment processing ordinarily takes 10-15 business days in Georgia.
Georgia does offer expedited processing for filings like Articles of Amendment, but it doesn’t come cheap. Extra processing fees start at $100 for two-day processing, $250 for same-day processing, or an additional $1,000 for one-hour processing.
