Adding Directors to Your Washington Corporation

 

If your corporate leadership changes, you’ll need to update your annual report with the Washington Secretary of State. Here’s how it works:

How do I add a director to my WA corporation?

Information about your Washington Corporation, including the names of your corporate directors, is shared with the Washington Secretary of State each year when you file your Washington Annual Report. You can simply update director information when filing this report.

What if I’ve already filed my WA annual report?

If the director(s) of your WA corporation changed shortly after you filed your annual report (or several months before your next report is due), you should file an amended annual report. To do so, download Washington’s Amended Annual Report form, then mail the completed form to the Washington Secretary of State’s Corporations and Charities Division:

Can I file WA’s amended annual report online?

No. Washington’s online system is not set-up to receive amended annual reports. Unfortunately, you’ll only be able to file this via mail. The cost is $10. You may pay via money order or check, made payable to “Secretary of State.”
