Reinstate Or Revive An Indiana Corporation:
If your Indiana corporation was administratively dissolved by the Indiana Secretary of State (SOS), you will need to complete the Indiana reinstatement packet for domestic entities if you want to continue your business. The packet is available on the SOS website or in your online account when you sign up for registered agent service with Northwest. There are several forms and fees that you will need to submit to reinstate your Indiana Corporation.
Submit ALL of the following and a check or money order for fees to the Secretary of State:
- Certificate of Tax Clearance from Indiana Department of Revenue
- Form 4160, Application for Reinstatement
- Form 48725, Business Entity Report (file one with current information)
- All business entity report fees owed
- Reinstatement filing fee

How do you get a tax clearance letter in Indiana?
The first step in reinstatement is to get a tax clearance certificate from the Department of Revenue. You cannot submit the reinstatement packet until you have the certificate and it takes a while to get, so apply for one in advance of filing with the SOS. You get your tax clearance certificate by completing the Reinstatement Affidavit and the Responsible Officer Information forms. These forms are included in the Secretary of State reinstatement packet. Submit the completed affidavit and information forms by mail or in-person to either the Department of Revenue in Indiana.

Once you have your Tax Clearance Certificate, you can go ahead and submit all your reinstatement documents and fees to the Secretary of State.

How long does it take the state to process the filing?
If you walk-in or express mail your documents:
Documents received before noon are filed by noon the next business day Documents received after noon are filed by noon on the second business day.
Mailed in documents are filed in 3-5 business days.
The Indiana Department of Revenue is currently processing Tax Clearances for reinstatement in about two weeks. However, depending on their back-log, it can take four to six weeks to get your certificate from the department.
How long does your Indiana Corporation have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Indiana Corporation?
Since there is no limit to the reinstatement period in Indiana, your corporation could reinstate at anytime by completing the packet. Even if you don’t file several biennial reports, you can still reinstate your Indiana corporation.
Can you change your Indiana registered agent at the same time on the Indiana reinstatement?
The Application for Reinstatement does not give you the option of changing your Indiana registered agent on the form. You can change your registered agent on the biennial report form that you have to file with your application. You can also change your registered agent by filing a Notice of Change of Registered Office or Registered Agent with the SOS.
Can you change your principal address at the same time on the Indiana reinstatement form?
The Application for Reinstatement does not give you the option of changing your principal address at the time of reinstatement. You can change your principal address on the biennial report that you are required to file with your application. You can also change you principal address by filing the Notice of Change of Principal Office Address form with SOS or when you file an amendment to your Indiana corporation or LLC.
Can you change your officers and directors at the same time on the Indiana reinstatement form?
The Application for Reinstatement does not give you the option of changing your officers or directors. You can change your officers and directors in your biennial Business Entity Report.
How many biennial Business Entity Reports can you miss before you can’t revive your Indiana Corporation?
There is no limit to the reinstatement period in Indiana, so you could reinstate a corporation or LLC at any time. Even if you don’t file several biennial reports, you can still reinstate.
If you want to just start a new corporation instead of reinstating the old one, you can wait until the 120 day name reservation is up and file to start a new corporation of the same name.
