Reinstate Or Revive A Hawaii Corporation:
If your Hawaii corporation was involuntarily terminated or dissolved, you must file Form X-4, Application for Reinstatement with the Department of Commerce and Consumer Affairs, Business Registration Division (BREG). If the corporation was terminated involuntarily, the form must include any missing annual reports and payment for delinquent costs and fees. A certificate from the Department of Taxation indicating that all taxes have either been paid or an arrangement has been made for payment is also required.
Submit the application for reinstatement by mail, fax, or in person. Filing fees may be paid to the BREG by mailing in the form with a check or by walk-in with check or credit card. To file by fax, the documents must include legible signatures, the amount of the charge, the sender’s credit card and contact information, and must specify regular or expedited review.

The filing fee for a nonprofit corporation is $10.
To expedite filing for reinstatement requires an additional fee of $25.

The Application for Reinstatement does not give you the option of changing your officers or directors at the time of reinstatement. You can change your officers and directors in your corporations annual report.

You can reinstate a business for up to two years after the involuntary dissolution of the entity.
