Is there a filing fee to dissolve or cancel a Hawaii Corporation?
To dissolve your Hawaii corporation a $25 filing fee is required.
For expedited filing, an additional $25 fee applies.

What is the penalty if you do not dissolve properly and just don’t file your biennial reports?
Hawaii requires that each corporation and LLC deliver an annual report to the Director of Commerce and Consumer Affairs. This annual report must reflect the business’s state of affairs as of each year. A $15 fee applies. If you fail to file the report annually, the corporation will be liable for a penalty of $10 for each year that the report is not filed. If the annual report is not filed for two years, the corporation may be administratively dissolved by the state.
