What is a corporate officer?
A corporate officer is someone who heads a vital branch of the corporate office structure. Common officer titles include, but are not limited to:
- chief executive officer (CEO)
- chief operating officer (COO)
- chief financial officer (CFO)
- chief marketing officer (CMO)
- chief technology officer (CTO)
When does a Delaware corporation appoint officers?
Corporate officers are usually appointed during a corporation’s first board meeting following incorporation. In addition to selecting officers, board members will also adopt corporate bylaws at this meeting.
How should I report new corporate officers in DE?
While you aren’t required to include corporate officer information when filing your Delaware Certificate of Incorporation, you will be asked to include officer information when filing your Delaware Annual Report with the Delaware Secretary of State, Division of Corporations. The Delaware Annual Report is due March 1 each year, which means any changes to your corporate officers’ names or addresses over the previous 12 months should be included in this annual report.
