Late Fees: Nebraska doesn’t charge late fees for failing to file a biennial or annual report. However, corporations will be considered delinquent if no report is filed by April 15. LLCs, nonprofits, and LLPs will be considered late by June 1. If a report is not delivered to the Secretary of State by those specific dates (April 15 OR June 1), your business will be administratively dissolved or revoked. *There is an additional $25 fee if your LLP practices law. |
Filing Your Nebraska Biennial Report
You can file your Nebraska Biennial OR Annual Report online or by mail. Either way, you’ll need to visit the Nebraska Secretary of State website.
- On the state website, go to the Annual/Biennial Reporting page. Click “File Online” for online submissions OR “Print a Paper Report” to file by mail.
- Then, enter your Secretary of State Business Services Account Number. You can find this by searching the Nebraska Business Database.
- You will then be prompted to begin the online filing process OR print a blank report.

- Business name.
- State you initially formed your business in.
- Registered agent name and address.
- Principal address.
- Directors/officers’ names and addresses. LLCs and LLPs are not required to include member/manager OR partner information.
- Total amount of paid in capital – domestic corporations.
- Total value of all property owned/used in the state of Nebraska – foreign corporations. You must also include each item’s exact location.
- Signature and title of person filing the report. Biennial reports for corporations must include one signature from the president, vice president, secretary, or treasurer.
Online filings must be paid with a credit card. In addition, you will be assessed an minimum $3 portal fee to file online. Mailed submissions must include a check or money order.
